I am of legal age in the State of my residency. I agree that I am an independent contractor, responsible for determining my own business activities and not an agent, employee or legal representative of Salu International, LLC., hereinafter referred to as "Company". I will not represent in any manner that I am an agent or representative of the company. I am responsible for the payment of all federal and state self employment taxes and any other tax required under federal, state, regulatory or taxing agency. I am responsible to pay all sales taxes.
1. Any distributor (sometimes referred to as SBO in this agreement) who sponsors another distributor or collects a bonus on another distributor must fulfill the obligation of performing a bona fide supervisory, distributing and selling function in the sale or delivery of product to the ultimate consumer and in training those sponsored. Distributors must have ongoing communication and management with his/her sales organization. Examples may include, but not limited to emails, telephone contact, accompanying individuals to company training and sharing genealogy information with those sponsored. Distributors should be able to provide evidence to the company quarterly of ongoing fulfillment of sponsor responsibilities.
2. Distributor understands that he/she is not compensated for sponsoring other distributors but earns compensation solely on the sales of product to the ultimate consumer.
3. Applicant is, upon acceptance, an independent contractor, called a distributor (or SBO) conducting business for his/her own account not an agent, employee or franchisee for the company. As such, Distributor in the USA must provide his/her Social Security or Federal Tax ID number for tax reporting purposes on any monies earned within the country. Distributors in all other countries must report their tax ID numbers for tax reporting purposes. All distributors should consult their attorney or tax consultant for information on all monies earned and where received. An independent contractor shall be responsible for obtaining any licenses required by law whatever state, country or county in which they reside and pay all applicable fees or taxes.
4. Distributor agrees to accept sole responsibility for all self employment, all legal country/federal and state income taxes and any other income earned as a distributor. The company will file forms at the close of the calendar year. For the amount of commission, bonuses earned in their country of residence under this agreement.
5. Distributor understands that the company will not be liable whatsoever for city, county, state and country/federal taxes or other fees pertaining to efforts and earnings paid to the distributor.
6. Distributors SHALL NOT promote or sell other companies products at company functions or on websites where Salu International is mentioned, use the company printed documents, forms or its name and prestige or drawing power in conjunction with or support in any other activities.
7. Distributor shall not sponsor or attempt to sponsor another Salu distributor into another direct sales and /or marketing company except for his/her personally sponsored Distributors. In addition, no distributor shall participate in any action that causes a distributor to be sponsored through someone else into that company.
8. Distributor shall make no claims as to income potential either written or oral except those prepared by the company for illustration purposes only.
9. Distributor will not make any claims of any kind pertaining to benefits of the Company's product and services except those given in official company promotional media. When presenting the company's program to others, distributor shall present the program in its entirety without omission, distortion or misrepresentation.
10. Distributor shall not represent or imply directly that the company program has been approved or endorsed by any government agency. Federal and State agencies do not approve or endorse any marketing company, products or programs.
11. Distributor will indemnify and hold The Company harmless from any and all claims, expenses, costs, causes of action and damages resulting from or growing out of distributor statements or actions in violation of this agreement.
12. Should a distributor be terminated for any reason, Distributors sales shall be transferred to his/her first active upline Distributor.
13. I understand that at least 70% of all personal purchases must be resold to customers that are not Distributors of Salu and that I will not purchase products solely for qualification for a higher position, bonuses or commissions.
14. In the event that I choose to purchase Company products on my credit or banking debit card, my signature (including my electronic signature) on this contract hereby constitutes my authorization to process any order I place on these accounts and to use this signed contract as my signature on file. I understand that any cancellation of a order placed by me shall be made within (3) three business days of the placement of a particular order or (10) ten business days for cancellation of an Auto-Ship Order, but all shipping, handling and restocking charges of 15% of total product, incurred will be paid by me.
15. A) In the event that the product has been damaged upon delivery to SBO or preferred customer , it may be returned to Salu for a full replacement accompanied by a return form that has been completed and placed inside the box and sent to the current corporate office.
16. A terminated Distributor will be eligible to reapply and may choose a new sponsor after 6 months. A terminated Distributor that reenters the program may not sponsor any of his/her original downline organization.
17. Distributor understands that the Company does not permit change of sponsors. Network Marketing is a business of creating relationships. Once a distributor is sponsored, the company believes in the maximum protection of that relationship.
18. Distributor understands that he/she will be paid bonuses monthly and commissions weekly.
19. Distributors without a sales tax ID number authorize the Company to remit to the proper agencies the sale/use tax generated as a result of Distributors product sales.
20. Distributor understands company will provide a Salu Success System, this system will help build and maintain your business with enhanced web hosting service, a virtual online office, online sales tools to present your business online and customer support upon receipt of required $14.95 monthly charge, taxes may apply in certain states and municipalities.
21. As an independent contractor, the distributor is aware of the quality of products offered by the Company and other costs and contractual obligations that occur when he/she purchases products from the Company. Distributor understands that he/she maintains greater responsibility when ordering on a credit card account, as an informed distributor than as a customer. Distributor therefore waives the right of refund on any order placed on his/her credit card account(s) except through the Company. Any order returns or exchanges shall be done through the Company and not the Credit Card Company.
22. In the event that any check (monies) by any method is returned unpaid, I authorize Salu International to Debit my account for the face amount plus $25.00 processing fee. If said amount remains unpaid, I understand that I could lose my current status and that until my account is bought current, I could forfeit certain rights and privileges, including commissions.
23. Distributor understands that USA residents in the states of Maine, South Dakota and Michigan, Indiana, Iowa, West Virginia are limited to a total of $495 in sales aids and wholesale products purchased from the Company during the first 6 months. Purchases will be automatically modified to comply with the exemption requirements set forth in any country/state laws regulating business opportunities.
24. Distributors SHALL NOT use the Salu name, Logos and/or terminology unique to Salu Products or Compensation Plan on Websites, Blogs or Similar Media without the express written permission of Salu International. This could result in termination of the SBO business agreement.
1. Company will pay distributor commission and bonuses on orders received and accepted for sale of products to the ultimate consumer (not sales aids) made by the distributor and his/her sales organizations under terms of the compensation plan.
2. Company will retain full right authority to accept or reject any Application or any order for products. Such refusal is solely within the discretion of the company. No right of action against company will arise because of any such acceptance or refusal.
3. Company reserve the right to amend, revise, institute, alter, or modify changes included but not limited to , prices, literature, policies, this agreement and the compensation plan. Any such revisions become effective by email, letter(s), or by publication in the official company literature, posted to Distributor at his/her last known address. Distributor agrees to be bound by these changes. Changes will become part of the agreement 30 days after notification.
4. Company shall not be responsible for acts beyond its control, including but not limited to: fire, flood, earthquakes, storms, power outages, labor difficulty, equipment failure, supplier problems, or other difficulties that might prevent performance according to this agreement.
5. Company assumes no liability for personal injury arising from the use or mishandling of any of the company's products.
6. Company does not require a distributor to sponsor.
7. Company reserves the right to terminate this agreement upon receipt of sufficient information that a distributor has violated Terms and Conditions of this agreement or has otherwise acted illegally or unethically.
8. Company will honor refund policies provided by any government law applicable to a distributor.
You may CANCEL this transaction, without any Penalty or Obligation, within THREE BUSINESS DAYS from the enrollment date. If you cancel, any property traded in, any payments made by you under the contract or sale, and any negotiable instrument executed by you will be returned within TEN BUSINESS DAYS following receipt by the seller of your cancellation notice, and any security interest arising out of the transaction will be cancelled. If you cancel, you must make available to the seller at your residence, in substantially as good condition as when received, any goods delivered to you under this contract or sale, or you may, if you wish, comply with the instructions of the seller regarding the return shipment of the goods at the seller's expense and risk. If you do make the goods available to the seller and the seller does not pick them up within 20 days of the date of your Notice of Cancellation, you may retain or dispose of the goods without any further obligation. If you fail to make the goods available to the seller, or if you agree to return the goods to the seller and fail to do so, then you remain liable for performance of all obligations under the contract. To cancel this transaction, mail or deliver a signed and dated copy of this Cancellation Notice or any other written notice, or send a telegram to Salu International, 75 Newnan South Industrial Drive, Newnan, GA 30263, USA or via fax at 1.678.423.3887 NOT LATER THAN MIDNIGHT THREE DAYS FROM ENROLLMENT.
